Summary: Comprehensive, but unbelievably out of date.
Review: I cannot imagine getting through my exam study for corporations without this guide. It gives a very clear explanation of the topics that were covered in class. It is very helpful to people only taking corporations because of the bar exam rather than a specific interest in practicing in this area. One caveat - unlike some other outlines, this text does not specifically brief any cases, so it is still essential to keep up with the text and attend class.

Review: This book simplifies corporations law and gives concrete examples and good summaries.

However, be aware that the book is in many places completely out of date and cites sections of statutes that were changed 12 years ago (even though this edition was published in 2002). You'll have to check constantly in your statutory supplement and in your case book to make sure that what you're reading is up-to-date.

It's hard to understand, really, how an author could fail to update sections of a book over such a long period especially an author with a law degree who is, therefore, giving outdated legal advice).

That all being said, the meat of the book is well done.

Summary: A must own for law students taking a corporations law class!
Review: This gouge explains corporation formation in a format that is easy to understand. This is especially helpful to law students who have never had a business course prior to law school. I found the author's coverage of the duties of coporate officers and those of shareholders to be straightforward and easy to understand. Additionally, the coverage of current case law in the area of the Business Judgment Rule, along with exam tips and "test your knowledge" questions were extremely helpful. (class taken in 1998)
