Summary: Don't be left out in the cold!
Review: I recently moved to Texas. This book by Mr. Dicks came highly recommended by a very successful business friend. I have always felt that word of mouth is the best and most credible form of advertising.

What is so great about this book? How to Incorporate and Start a Business in Texas covers every essential topic you will need to understand to start your business right. The booki s an easy read with simple to follow steps and worksheets to guide you through every step of incorporation.

You will learn the five necessary steps to incorporation-five essential moves you must know and follow. This section covers in detail how to choose a name-the legal ramifications of this simple step. Prepare the Articles of Incorporation. Write the bylaws. Hold the organizational meeting. And issue the stock.

You will also learn how to select an operating entity-which one is best for you? Learn the pros and cons of each type:

Sole proprietorships
General Partnerships
Limited Partnerships

"S' Corporations
Limited Liability Companies (LLCs)
Limited Liability Partnerships (LLPs)

We also learned how to raise capital and how to avoid costly mistakes and financing pitfalls that leave other business owners behind. In additions, Dicks also tells us how to:

Identify potential investors
Sell stocks, notes, bonds or convertibles
Borrow money from banks, credit unions, and venture capital firms

The the book continues and discusses:

How to deal with the law
Legal issues and how to prepare for them
Arm yourself with knowledge
Handle disputes
Tips to keep you out of court

Dicks also goes on to talk about contracts and leases, understanding copyrights, trademarks and patents and how it applies to you. Mastering your taxes and choose an accounting method.

I can go on and on. There is just so much good information that you must have this book if you want to make the most of your business in Texas and if you live in another state, I recommend the appropiate title for your particular state.

If you own a business and want to form a corporation, then I highly recommend this book. Other books by Dicks that are must reads include; "How to Form a Corporation and Launch a Business in Any State and "The Small Business Legal Kit."

Dicks is an attorney and an entrepneneur so understands both the legal and the real world aspects of corporations and successfully building a business.

Another book you should read is "How to Use Limited Liability Companies & Limited Partnerships by Garrett Sutton.

Good luck in your business.
